Derivative is a financial instrument whose value depends on the value of one or multiple underlying assets. Derivatives are made into various types of contracts, which clearly state the rights and/ or obligations of related parties regarding the payment in cash and/ or transfer of underlying assets at a pre-defined price and at a pre-determined point of time in the future.

Hợp đồng Tương lai tồn tại hai bên: bao gồm Bên Mua và Bên Bán Hợp đồng. Nhà đầu tư được coi là Bên Mua (tham gia vị thế mua) hoặc Bên Bán (tham gia vị thế bán) của hợp đồng khi đặt lệnh mua/bán hợp đồng trên thị trường và được khớp lệnh đối ứng trên cơ sở giá và khối lượng. Nếu nhà đầu tư có nhu cầu mua tài sản cơ sở, hoặc/và kỳ vọng giá của tài sản cơ sở sẽ tăng trong tương lai, thì nhà đầu tư sẽ tham gia vị thế mua Hợp đồng; ngược lại, nếu nhà đầu tư có nhu cầu bán tài sản cơ sở hoặc/và kỳ vọng giá của tài sản cơ sở sẽ giảm trong tương lai, thì nhà đầu tư sẽ tham gia vị thế bán hợp đồng.
Khi hợp đồng được mở trên thị trường (lệnh mua và lệnh bán được khớp), Trung tâm Lưu ký Chứng khoán (TTLKCK) sẽ bắt đầu thực hiện thanh toán bù trừ cho hợp đồng đó theo cơ chế Đối tác Bù trừ Trung tâm. Theo đó, vào cuối ngày giao dịch, dựa vào các mức giá thanh toán hàng ngày và giá mà nhà đầu tư đã tham gia vị thế mua/bán hợp đồng, TTLKCK sẽ tính toán lãi/lỗ của vị thế mà nhà đầu tư nắm giữ và thực hiện chuyển giao tiền từ bên lỗ cho bên lãi. Hoạt động này được gọi là Hạch toán hàng ngày và được diễn ra trong suốt quá trình nhà đầu tư tham gia hợp đồng.
Trong trường hợp đến ngày đáo hạn vẫn tồn tại vị thế mua/bán hợp đồng thì bên Bán và bên Mua có nghĩa vụ thực hiện thanh toán cuối cùng. Trường hợp việc thanh toán là chuyển giao vật chất thì bên mua phải thanh toán tiền còn bên bán phải giao tài sản cơ sở theo hướng dẫn và quy định của TTLKCK.
Giới hạn vị thế được đặt ra nhằm ngăn ngừa việc một cá nhân hoặc tổ chức có thể nắm giữ số lượng hợp đồng quá lớn, qua đó gây ảnh hưởng đáng kể lên giao dịch của chứng khoán phái sinh. Việc sử dụng giới hạn vị thế sẽ giúp duy trì thị trường ổn định và công bằng, qua đó đảm bảo quyền lợi của các nhà đầu tư khi tham gia giao dịch chứng khoán phái sinh.
Sau khi tham gia vào hợp đồng, nhà đầu tư có thể nắm giữ hợp đồng cho đến thời điểm đáo hạn hoặc thoát khỏi hợp đồng trước khi hợp đồng đáo hạn. Để thoát khỏi vị thế đang tham gia, ví dụ vị thế bán, thì nhà đầu tư cần đặt lệnh đối ứng (vị thế mua) trên thị trường. Nếu lệnh này được khớp, thì nhà đầu tư được coi là đã thoát khỏi vị thế của mình.
Việc thoát khỏi hợp đồng (hay còn gọi là đóng vị thế) được nhà đầu tư thực hiện trong nhiều trường hợp:
Nguyên tắc thanh toán đối với HĐTL sẽ được quy định tại mẫu hợp đồng, theo đó việc thanh toán có thể được thực hiện dưới một trong hai hình thức sau:
Thanh toán bằng tiền: hình thức này thường được áp dụng cho một số loại HĐTL có tài sản cơ sở không thể chuyển giao (chỉ số cổ phiếu, lãi suất, thời tiết, kết quả bầu cử, v.v...) hoặc do tính chất phù hợp khi thiết kế sản phẩm nên được lựa chọn làm phương thức thanh toán cho sản phẩm đó. Giá trị tiền thanh toán sẽ được tính trên lãi/ lỗ của khoản ký quỹ của nhà đầu tư khi giá hợp đồng biến động trên thị trường.
Thanh toán bằng hình thức chuyển giao vật chất: áp dụng cho một số loại HĐTL có tài sản cơ sở có thể chuyển giao (cổ phiếu đơn lẻ, trái phiếu, hàng hóa, v.v….) hoặc do tính chất phù hợp khi thiết kế sản phẩm. vào thời điểm đáo hạn, bên mua của HĐTL sẽ thực hiện chuyển tiền và bên bán HĐTL sẽ thực hiện chuyển giao tài sản cơ sở theo yêu cầu của Trung tâm Thanh toán Bù trừ, thông qua hệ thống thanh toán của Trung tâm.
Nguyên tắc giao dịch Hợp đồng tương lai có nhiều đặc điểm tương tự giao dịch của chứng khoán cơ sở (cổ phiếu, trái phiếu). Tuy nhiên, hợp đồng tương lai có một số đặc điểm khác biệt sau đối với chứng khoán cơ sở:
Với đặc điểm Lợi thế đòn bẩy, không bị giới hạn về số lượng hợp đồng lưu hành, có thể tham gia mua/ bán mà không cần sở hữu tài sản cơ sở/ đủ tiền, Hợp đồng Tương lai là một sản phẩm ưa thích của những nhà đầu tư với mục đích:
Phòng hộ rủi ro: nhà đầu tư có thể giảm thiểu các rủi ro về biến động giá của một loại tài sản bằng việc tham gia Hợp đồng Tương lai.
Đầu cơ: nhà đầu tư có thể kiếm lời với giá trị lớn dựa trên một khoản ký quỹ có giá trị nhỏ.
Tìm kiếm cơ hội chênh lệch giá: giá của Hợp đồng Tương lai và giá của Tài sản cơ sở của Hợp đồng thường biến động giống nhau, tuy nhiên trong một số trường hợp hai sản phẩm trên có biến động khác nhau, nhà đầu tư có thể tìm kiếm được lợi nhuận chênh lệch giá mà không phải bỏ ra bất kỳ khoản tiền nào.
Lợi thế đòn bẩy là một đặc điểm khác biệt của CKPS so với chứng khoán cơ sở. Về cơ bản, khi tham gia giao dịch HĐTL, nhà đầu tư chỉ phải bỏ ra một khoản tiền (Ký quỹ) có giá trị nhỏ hơn nhiều so với giá trị của hợp đồng mà nhà đầu tư muốn tham gia (giá trị hợp đồng). Ví dụ:
Nhà đầu tư có nhu cầu tham gia vị thế mua 01 hợp đồng tương lai chỉ số VN30 đáo hạn vào tháng 09/2017 với giá là 703 điểm. Nhà đầu tư đặt lệnh mua 01 hợp đồng và được khớp trên thị trường với giá trên. Như vậy nhà đầu tư đã được ghi nhận bởi TTLKCK là đã tham gia 01 vị thế mua với giá 703 điểm.
Nếu tại mẫu hợp đồng tương lai chỉ số VN30 quy định: hệ số nhân của 01 hợp đồng là 100.000 VNĐ/điểm chỉ số thì:
Giá trị 01 hợp đồng bằng: 703 điểm * 100,000 VNĐ/điểm chỉ số = 70.3 triệu VNĐ
Tuy nhiên, nếu mức ký quỹ ban đầu được quy định là 13% thì thay vì bỏ ra 70.3 triệu, nhà đầu tư chỉ phải bỏ ra số tiền và/ hoặc tài sản có giá trị:
70.3 triệu * 13% = 9,139,000 VNĐ
Đây được gọi là mức Ký quỹ Ban đầu.
Số tiền ký quỹ ban đầu này sẽ được TTLKCK sử dụng trong việc tính toán lãi/ lỗ của nhà đầu tư (nguyên tắc này được gọi là hạch toán theo giá thị trường). Ví dụ: khi giá hợp đồng tương lai tăng từ 703 lên 705 điểm, nhà đầu tư đang có lãi với giá trị bằng:
(705 – 703) *100,000 VNĐ/điểm chỉ số = 200,000 VNĐ
Nếu như giao dịch tại thị trường cơ sở, thì phần trăm lãi của nhà đầu tư sẽ chỉ bằng:
(705 – 703) / 703 * 100% = 0.28%
Tuy nhiên, đối với hợp đồng tương lai, thì phần trăm lãi của nhà đầu tư sẽ bằng:
(705 – 703) * 100,000 / 9,139,000 * 100% = 2.19%
Như vậy có thể thấy, một biến động nhỏ về giá của hợp đồng tương lai có thể tạo ra hiệu ứng lãi / lỗ trên khoản đàu tư lớn hơn nhiều so với việc đầu tư vào các chứng khoán cơ sở.
Lợi thế đòn bẩy cũng chính là nguyên nhân gây ra rủi ro khi đầu tư vào hợp đồng tương lai. Khi giá của hợp đồng tương lai biến động theo chiều hướng có lợi (ví dụ: giá hợp đồng tăng đối với nhà đầu tư nắm giữ vị thế mua, giá hợp đồng giảm đối với nhà đầu tư nắm giữ vị thế bán), thì nhà đầu tư có thể ghi nhận một khoản lãi lớn trên giá trị ký quỹ ban đầu. Nhưng ngược lại, khi giá hợp đồng biến động theo chiều hướng bất lợi, nhà đầu tư có thể sẽ phải chịu những khoản thiệt hại lớn trên tài khoản ký quỹ trong thời gian rất ngắn.
Khi giá trị ký quỹ của nhà đầu tư xuống thấp hơn mức cho phép (mức Ký quỹ yêu cầu duy trì), nhà đầu tư phải nhanh chóng bổ sung ký quỹ. Nếu không bổ sung ký quỹ kịp thời, nhà đầu tư buộc phải đóng một phần hoặc toàn bộ vị thế đang nắm giữ bằng việc đặt lệnh đối ứng trên thị trường. Khi đóng được vị thế, nhà đầu tư vẫn phải thanh toán các thiệt hại cho TTLKCK và công ty chứng khoán nếu giá trị ký quỹ của nhà đầu tư không đủ để chi trả.
Nhà đầu tư có thể sử dụng HĐTL để thay thế cho việc mua chứng khoán cơ sở (cổ phiếu chứng chỉ quỹ, cổ phiếu đơn lẻ) để điều chỉnh danh mục đầu tư của nhà đầu tư. So với việc đầu tư vào các cổ phiếu đơn lẻ, hợp đồng tương lai chỉ số có một số ưu điểm sau:
Với các lợi ích trên, sản phẩm hợp đồng tương lai chỉ số cổ phiếu là sản phẩm được ưa chuộng nhất tại thị trường chứng khoán phái sinh trên các Sở Giao dịch Chứng khoán trên thế giới, với độ thanh khoản cao, được nhà đầu tư quan tâm.
Futures consist of two sides: Long (buy) and Short (sell). Investors are Buyers (long position) or Sellers (short position) of futures when placing long/short orders in the market and are matched with the counter orders based on price and volume. If investors intend to buy underlying assets and/or expect the price of underlying assets to increase in the future, investors will enter long position; otherwise, if investors intend to sell underlying assets and/or expect the price of underlying assets to decrease in the future, investors will enter short position.
When position is opened on the market (buy and sell orders are matched, VSD begins settlement and clearing process for that contract in accordance with the mechanism of Central Counterparty Clearing House. Accordingly, at the end of trading day, based on the daily settlement price and the price which investors open long/ short positions, VSD calculates gain/loss of the positions being held by investor and transfers money from sides which are in the red to sides which are in the black. This activity is called Daily Settlement and happens as long as the positions are still open.
In case that positions are still open on the expiration day, Buyers and Sellers have the obligations to perform final settlement. If the settlement is the transfer of physical assets, buyers pay money in exchange of underlying assets from sellers in accordance with guidances and regulations of VSD.
Position limit is set in order to prevent an individual or institution to hold a large amount of contracts which may have remarkable impact on the market. The implementation of position limit helps to maintain a stable and fair market, which ensures the rights of investors.
After entry, investors can hold the contracts until expiration or exit the positions before that. In order to cancel out open contracts, for example for short position, investors have to place an opposite order (long position) on the market. If this order is matched, investors close out their contracts.
The exit of contract (or closing position) is carried out by investors in the following cases:
The settlement principle of futures are stipulated in the agreement, in which it can be conducted under either one of the following methods:
Cash settlement: this method is usually applied for futures contracts whose underlying assets cannot be transferred (stock index, interest rate, weather, voting results, etc.) or is due to the relevance when designing the product. The value of cash settled is calculated based on gain/ loss of investors’ margin due to the change of the contracts’ market price.
Physical delivery: applied for futures contracts whose underlying assets are transferrable (single stock, bond, commodities, etc.) or due to the relevance when designing the product. Upon expiration, buy side of futures contracts will transfer money and sell side will transfer underlying assets as required by Central Counterparty Clearing House, via the payment system of the Clearing House.
Futures contracts’s trading principles have many similar characteristics compared to those of underlying securities (stock, bond). However, there are some differences:
With all the abovementioned features, Futures are highly favoured by investors with the following purposes:
Hedging: investors can reduce the risk due to price volatility of one asset by entering Futures.
Speculating: investors can take a huge profit with only a small amount of margin.
Arbitrage: price of underlying assets and futures are usally correlated. However, sometimes they show differences which provide the opportunities for investors to arbitrage without putting up any money.
Leverage is a main difference between derivatives and underlying securities. Basically, when trading futures, investors only have to put up a portion of money (Margin) which is only a small fraction of the value of the contracts. For instance:
An investor wants to long 01 futures contract of VN30 Index, expiring in September 2017 with the price of 703 points. The investor places a buy order of 01 contract and is matched with the abovementioned price. As a result, the investor has been recorded by VSD as having opened 01 long position with the price of 703 points.
If the futures contract of VN30 Index stipulates that the contract multiplier is 100,000 VND for each index points, it will be:
Value of 01 contract equals to: 703 points * 100,000 VND/ index point = 70.3 mln VND
However, if the required initial margin is 13%, instead of 70.3mln, the investor only has to put up:
70.3mln VND * 13% = 9,139,000 VND
This is the Initial Margin.
This amount of initial margin will be used by VSD to calculate gain/ loss of the investor (this is called mark-to-market). For example, when futures price rises from 703 to 705 points, the investor will have a gain of:
(705 – 703) *100,000 VND/index point = 200,000 VND
If trading on the equity market, the profit margin is:
(705 – 703) / 703 * 100% = 0.28%
Meanwhile, for futures, the profit margin is:
(705 – 703) * 100,000 / 9,139,000 * 100% = 2.19%
As a result, with only a small price change of futures, it can create a higher gain/ loss than investing in underlying securities.
Levarage is also the risk factor of futures. When the price is moving in a favourable direction (for example: it increases for long position or decreases for short position), the investor can record a huge profit margin. Otherwise, when it moves unfavourably, the investor can also sustain big loss on the initial margin in a very short time.
When the investor margin is lower than required level (Margin Maintenance), the investor has to promptly deposit additional margin. If the margin is not fulfilled on time, the investor has to cancel out a portion of or all positions. After closing positions, the investor still has to settle the loss to VSD and securities company if the margin is not sufficient.
Investors can trade futures instead of buying underlying securities (single stock, fund certificate) to allocate the investment portfolio. In comparison to investing a single stock, futures have the following advantages:
